1. Public Consumer & Property Browser

Any commercial exploitation, distribution, or unauthorized reuse of the Display Materials is explicitly prohibited.

1.2 Valuation and Financial Data Disclaimer

All financial calculations, estimation tools, mockups, and promotional interest rate displays — including but not limited to references regarding promotional builder loan programs — are provided strictly for illustrative, macro-educational, and preliminary lead-generation simulation purposes. The Platform is a technology utility and media vendor; it does not issue mortgage pre-approvals, execute financial underwriting, or function as a licensed institutional lender. Actual mortgage qualifications, rate selections, loan parameters, and final financial processing must be executed independently through an authorized, properly licensed mortgage professional. The Platform expressly disclaims all financial, legal, or transactional liability resulting from user reliance upon simulated loan calculations or rate indicators.

1.3 Prohibition of Systemic Extraction, Scraping, and Reverse Engineering

By activating an Individual Agent Subscriber account, you represent, warrant, and covenant that: (a) you hold an active, valid real estate license in good standing within your practicing jurisdiction; (b) you maintain an active association with a licensed real estate brokerage firm; (c) you possess the explicit, unencumbered written authorization and copyright control from the property seller, your managing broker, and any regional MLS board to upload, market, alter, and display all submitted property listings, descriptions, dimensions, and visual assets (collectively, the "Agent Contributed Content").

2.2 Non-Exclusive Global Intellectual Property License Grant

You retain original underlying copyright ownership over your Agent Contributed Content. However, by uploading, submitting, or sync-linking any Agent Contributed Content to the website, you hereby grant the Platform, its parent companies, and corporate affiliates a perpetual, worldwide, irrevocable, royalty-free, fully sub-licensable, non-exclusive license to host, cache, index, store, publicly display, distribute, broadcast, and reproduce said materials across the platform's global media matrix.

2.3 PropTexx AI Virtual Staging and Derivative Work Authorization

You acknowledge that these AI-rendered transformations are intended purely as illustrative marketing supplements. You assume sole operational liability for ensuring that any AI-modified images displayed to consumers adhere to all local advertising regulations, consumer protection statutes, Truth-in-Advertising guidelines, and regional MLS clear cooperation mandates.

2.4 Explicit Mutual Cooperation Disclaimer

Individual Agent Subscribers acknowledge that their personal real estate homepage, customized property modules, and connected pipeline systems may display third-party digital banner advertisements from authorized regional loan officers subscribed to the independent Affordify system. You agree that this spatial layout constitutes an independent technology utility alignment. It does not represent an unpermitted referral framework, an exclusive endorsement arrangement, or a joint financial venture under federal regulatory guidelines.

3. Real Estate Brokerage & Company Subscribers

3.1 Enterprise Roster Allocation and Licensing Controls

Real estate companies, managing brokerages, and office-wide subscribers paying the flat corporate enterprise tier are granted a central organizational license to activate their corporate branch profiles and provision connected sub-accounts for all legally affiliated real estate agents assigned to that specific physical branch location. The corporate office subscriber assumes primary administrative and legal responsibility for verifying that all invited roster agents maintain valid licensing compliance, observe local professional standards, and adhere to the unified Terms of Use of this website.

3.2 Collective Branding and Consolidated Office Listing Feeds

The platform grants corporate office subscribers the right to aggregate, display, and manage all active properties and listing portfolios held by the brokerage branch, including authorized localized home builder inventory and custom new construction collaborations. The office subscriber warrants that it possesses structural authority over its collective corporate brand assets, listing remarks, and photographic data sets, and permits the platform to apply automated PropTexx AI staging routines across all branch-wide property feeds systematically.

3.3 Enterprise Indemnification Requirements

The subscribing real estate brokerage company agrees to defend, indemnify, and hold harmless the Platform, its software engineers, corporate directors, and third-party data partners from and against any claims, losses, structural damages, statutory regulatory fines, or legal expenses (including reasonable attorney fees) arising directly or indirectly from: (a) any copyright infringement actions regarding data uploaded via the office dashboard; (b) any regional MLS compliance penalties stemming from unauthorized listing deployment; (c) any data privacy breaches occurring due to compromised broker or agent administrative passwords.

4. Real Estate Portals & Syndication

4.1 Explicit Prohibition of Automated Harvesting

Third-party real estate websites, commercial search portals, lead-generation aggregators, and technology platforms are strictly prohibited from utilizing automated data mining software, spider utilities, scrapers, indexers, or extraction tools to harvest property information, agent rosters, loan officer contact parameters, or digital media assets from this platform for commercial placement. The compilation, repackaging, re-syndication, or framing of any proprietary data points found on this network is defined as a material breach of these terms, giving rise to immediate claim components for tortious interference with business relations and breach of contract.

4.2 Protection of Proprietary PropTexx AI Visual Assets

All virtually staged property photos, digital floor plans, spatial transformations, and enhanced media files generated by the PropTexx AI engine are the exclusive intellectual property of the Platform and its licensing partners. External syndication platforms are strictly blocked from copying, stripping, or displaying these specific derivative images without a valid enterprise API license or express written permission, which constitutes direct copyright infringement under the Digital Millennium Copyright Act (DMCA).

4.3 Reservation of Legal Remedies

The Platform reserves the right to deploy technical countermeasures, including programmatic IP range blocks, geofencing parameters, firewall rules, and API authentication barriers, to restrict automated access by unauthorized scraping portals. The platform explicitly retains all rights to seek formal injunctions, statutory civil compensation, and recovery of legal defense outlays from any enterprise entity that knowingly circumvents technical security perimeters.

All real estate data sets obtained via these integrated technical pipelines are strictly subject to the individual governance, clear cooperation policies, and local display rules enforced by each respective regional MLS provider.

5.2 Accuracy and Reliability Disclaimer

All IDX and VOW property listing records displayed on this platform are deemed generally reliable for basic consumer search evaluations but are not guaranteed to be structurally accurate, complete, or up-to-date by the Platform or the providing MLS entity. Property information — including list pricing, school districts, boundary coordinates, zoning rules, property tax calculations, and recorded square footage — must be verified independently by the consumer through formal physical inspection, public county record checks, or direct collaboration with a licensed real estate professional.

5.3 Automated Ownership Signatures and Localized Data Notices

Property listings derived from authorized IDX data feeds will prominently display individual regional source markings, database copyright signatures, and local data notice blocks as mandated by local MLS rules. The information provided via these data feeds is restricted to the personal, non-commercial use of consumers and may not be redistributed. Listings held by brokerage firms other than the hosting agent's firm will display the formal name of the listing brokerage company immediately below the primary property specifications.

5.4 DMCA Safe Harbor Provision

The Platform operates as an interactive service provider under the safe harbor protections of the Digital Millennium Copyright Act (DMCA) (17 U.S.C. § 512). If you believe that any listing data, image asset, or text block displayed on this network constitutes an unpermitted infringement of your copyright, you must submit a formal written deletion request to our registered DMCA Copyright Agent at: legal@emedialinks.com.

Your formal DMCA deletion request must include: (a) an electronic or physical signature of the individual authorized to act on behalf of the copyright owner; (b) a detailed description of the copyrighted work that you assert has been infringed; (c) the specific URL link or exact listing identification code showing where the material is located; (d) your direct contact information; (e) a formal statement indicating good faith belief that the disputed use is not authorized; (f) a statement made under penalty of perjury that the information provided is accurate and that you are the rightful copyright owner or authorized to act on their behalf.

Upon receiving a valid, properly formatted DMCA notification, the platform will remove or disable access to the contested asset within 24 business hours.
